Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you and Bada Studios LLC, a Wyoming limited liability company doing business as BADA ("BADA," "we," "us," or "our"). These Terms govern your access to and use of the BADA website, mobile application, livestreams, shopping features, giveaway features, content, communications, and related services (collectively, the "Service").
By creating an account, accessing the Service, watching a livestream, participating in chat, entering a giveaway, purchasing a product, or otherwise using the Service, you agree to these Terms, our Privacy Policy, the applicable Official Giveaway Rules, and any additional terms presented to you within the Service or at checkout. If you do not agree, do not use the Service.
1. Eligibility
You may use the Service only if you are at least eighteen (18) years old, are at least the age of majority in your jurisdiction of residence, have the legal capacity to enter into these Terms, and are not prohibited from using the Service under applicable law.
You represent and warrant that you meet the eligibility requirements above; you are not located in a country or region subject to a U.S. government embargo or designated as supporting terrorism; and you are not listed on any U.S. government list of prohibited or restricted parties.
2. The Service
BADA is a live shopping, entertainment, product discovery, and promotional giveaway platform. The Service may allow users to create accounts, watch livestreams, participate in chat, discover featured products, purchase physical goods, receive notifications, enter BADA-sponsored giveaways, and provide shipping and other information needed for orders or prize fulfillment.
We may modify, suspend, remove, or discontinue any feature of the Service at any time, subject to applicable law.
3. Accounts
You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding your login credentials and for all activity under your account. Notify us promptly at info@shopbada.com if you believe your account has been compromised.
You may not create an account using false information; create an account for someone else without permission; create multiple accounts to manipulate giveaways, purchases, engagement, or platform rules; sell, transfer, or assign your account; or use another person's account or attempt to evade suspension or termination.
4. BADA-Sponsored Giveaways
Unless the applicable Official Giveaway Rules expressly state otherwise, giveaways offered through the Service are sponsored and administered by Bada Studios LLC d/b/a BADA. Featured brands, creators, hosts, advertisers, collaborators, product partners, or prize providers may appear in the Service, supply products, fund promotions, or participate in marketing, but they are not the legal sponsor or administrator of a giveaway unless the applicable Official Giveaway Rules expressly say so.
Each giveaway is subject to the applicable Official Giveaway Rules and any giveaway-specific details presented in the Service. If there is a conflict between these Terms and the applicable Official Giveaway Rules, the Official Giveaway Rules control for that giveaway to the extent of the conflict.
5. No Purchase Necessary; Shopping Is Separate
No purchase, payment, order, donation, tip, or other transaction is required to enter or win a BADA giveaway. A purchase does not improve your chances of winning. Shopping features and giveaway features are separate. Products may be promoted, discussed, or sold during livestreams or elsewhere in the Service, but purchasing a product does not automatically enter you into a giveaway unless the applicable Official Giveaway Rules clearly state the entry method and provide any legally required free method of entry.
Unless the applicable Official Giveaway Rules state otherwise, BADA-sponsored giveaways are open only to eligible legal residents of the fifty (50) United States and Washington, D.C., age 18 or older. Giveaways are void where prohibited.
6. Orders and Physical Products
The Service may allow you to browse, reserve, or purchase physical goods. Product listings, descriptions, pricing, availability, shipping timing, promotions, taxes, and fees may change at any time before an order is accepted. An order is not accepted until BADA confirms it. We may correct errors, limit quantities, refuse or cancel orders, or decline transactions where permitted by law.
If your order is accepted, you agree to pay all amounts shown at checkout, including product price, shipping charges, taxes, and fees.
7. Payments, Returns, Refunds, and Taxes
We may use third-party payment processors. You represent that you are authorized to use the payment method you submit. By placing an order, you authorize BADA and its payment processors to charge the amounts due. If a payment is declined, reversed, charged back, disputed, or otherwise not completed, we may cancel the order, delay fulfillment, restrict your account, or pursue amounts owed, subject to applicable law.
Returns, refunds, cancellations, and delivery issues are governed by the terms presented at checkout or in the Service, along with any non-waivable consumer rights that apply under law.
You are responsible for taxes, duties, and government charges associated with purchases except for taxes BADA is required to collect and remit. Giveaway winners are responsible for any taxes associated with prize acceptance, receipt, or use. We may require tax documentation, including a Form W-9, before releasing certain prizes, and we may issue tax forms where required by law.
8. Shipping, Delivery, and Prize Fulfillment
You must provide accurate, complete, and deliverable shipping information for orders and prizes. For giveaway prizes, unless otherwise stated, BADA will pay standard shipping for physical prizes within the eligible territory. Expedited shipping, customs, import duties, and other extraordinary costs are not included unless expressly stated.
To the fullest extent permitted by law, BADA is not responsible for delivery failure, delay, loss, theft, damage, misdelivery, or inability to deliver caused by inaccurate address information, failure to respond, carrier delay, weather, force majeure, customs restrictions, or other events outside our reasonable control.
We may substitute a giveaway prize with one of equal or greater approximate retail value if the advertised prize is unavailable, recalled, unsafe, restricted, or otherwise cannot reasonably or lawfully be awarded.
9. User Content
You retain ownership of your User Content, but you grant BADA a worldwide, non-exclusive, royalty-free, fully paid, transferable, sublicensable license to host, store, reproduce, copy, modify, adapt, edit, publish, translate, distribute, transmit, stream, display, perform, create derivative works from, archive, moderate, and otherwise use your User Content in connection with operating, improving, securing, moderating, marketing, and promoting the Service.
You represent and warrant that you own or control the rights necessary to submit the User Content; your User Content does not infringe or violate any intellectual property, privacy, publicity, contract, or other rights; your User Content is not unlawful, fraudulent, defamatory, obscene, exploitative, threatening, hateful, violent, harassing, or otherwise harmful; and your User Content complies with these Terms and applicable law.
10. Livestreams, Chat, and Public Interactions
Livestreams, chat messages, usernames, giveaway actions, and other public interactions may be visible to other users, hosts, brands, viewers, or partners. Do not post sensitive personal information, private addresses, payment information, government identification numbers, health information, or any information you do not want to be visible or retained.
BADA may record, store, review, moderate, replay, archive, and remove livestreams, chat, and other content for operational, legal, moderation, fraud-prevention, safety, and promotional purposes.
11. Prohibited Conduct
You may not violate any law, regulation, or third-party right; violate these Terms or Official Giveaway Rules; use the Service if you are underage or otherwise ineligible; submit false account, payment, tax, shipping, or eligibility information; use bots, scripts, automation, device farms, entry services, macros, or similar tools; manipulate giveaway entries, odds, winner selection, chat, engagement, or platform metrics; impersonate any person or entity; harass, threaten, abuse, exploit, stalk, or harm others; post unlawful, infringing, deceptive, obscene, hateful, violent, or harmful content; use copyrighted music, video, images, trademarks, or other third-party content without permission; scrape, crawl, reverse engineer, or extract data from the Service except as permitted by law; bypass security, age-gating, fraud controls, or access restrictions; upload malware or harmful code; use the Service for illegal gambling, raffles, lotteries, or wagering; collect personal information from other users without permission; engage in spam, phishing, scams, payment fraud, refund abuse, or chargeback abuse; or assist or encourage anyone else to do any of the foregoing.
12. Moderation and Platform Enforcement
We may, but have no obligation to, monitor, review, remove, edit, block, restrict, suspend, disable access to, or refuse to publish any content, account, stream, order, entry, listing, or transaction at any time. Our enforcement choices are discretionary and do not create any obligation to take action in every instance.
13. Ownership of the Service; Limited License
The Service, including software, code, design, graphics, interfaces, trademarks, logos, service marks, text, video, audio, compilations, and other content made available by BADA, is owned by BADA or its licensors and is protected by applicable intellectual property and other laws.
Subject to these Terms, BADA grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal, lawful, non-commercial use.
14. Feedback
If you provide ideas, suggestions, recommendations, or other feedback about the Service, you grant BADA a worldwide, perpetual, irrevocable, royalty-free right to use, modify, commercialize, and otherwise exploit that feedback without restriction or compensation.
15. Intellectual Property Complaints
If you believe content on the Service infringes your copyright or other intellectual property rights, contact us at info@shopbada.com with sufficient detail for us to investigate. We may remove or disable access to allegedly infringing content and may terminate repeat infringers in appropriate circumstances.
16. Third-Party Services
The Service may include or rely on third-party services, websites, software, SDKs, payment processors, livestreaming tools, analytics tools, shipping carriers, app stores, or other providers. Your use of third-party services may be subject to separate terms and privacy policies. BADA is not responsible for third-party services, content, policies, products, or failures, except where applicable law does not permit us to disclaim responsibility.
17. Mobile App and App Store Terms
If you obtain the BADA app through the Apple App Store, you acknowledge and agree that these Terms are between you and BADA, not Apple; BADA, not Apple, is solely responsible for the app and its content; Apple has no obligation to provide maintenance or support services for the app; Apple and its subsidiaries are third-party beneficiaries of these Terms as they relate to the app; and Apple is not a sponsor of, does not endorse, does not administer, and is not involved in BADA giveaways.
18. Privacy and Communications
Our Privacy Policy explains how we collect, use, disclose, and retain personal information. By using the Service, you acknowledge the Privacy Policy.
We may send you transactional, account, safety, legal, order, shipping, prize, or service-related communications. If you opt in to marketing communications, you may unsubscribe using the instructions provided in those messages. If you enable push notifications, you can manage them through your device settings.
19. Suspension, Termination, and Account Deletion
You may stop using the Service at any time. You may request account deletion through in-app account settings or by contacting info@shopbada.com. We may require identity verification before acting on a deletion request.
We may suspend, restrict, or terminate your access to the Service at any time if we believe you violated these Terms, violated Official Giveaway Rules, created legal or safety risk, engaged in fraud or suspicious activity, harmed platform integrity, or if we are required or permitted to do so by law.
Deletion or termination may not remove information that we are required or permitted to retain for legal compliance, fraud prevention, security, accounting, tax, dispute resolution, chargebacks, prize administration, order history, or enforcement of these Terms.
20. Disclaimers
The Service is provided "as is" and "as available." To the fullest extent permitted by law, BADA disclaims all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, reliability, and uninterrupted operation. Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you to the extent prohibited by law.
21. Limitation of Liability
To the fullest extent permitted by law, BADA and its affiliates, officers, directors, employees, contractors, agents, service providers, licensors, suppliers, and partners will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages, including lost profits, lost revenue, lost data, loss of goodwill, business interruption, or emotional distress, arising out of or relating to the Service or these Terms, even if advised of the possibility of such damages.
To the fullest extent permitted by law, BADA's total liability for any claim will not exceed the greater of: (a) the amount you paid to BADA for the specific transaction giving rise to the claim; (b) the amount you paid to BADA in the six (6) months before the event giving rise to the claim; or (c) one hundred U.S. dollars (US $100). Nothing in these Terms limits liability that cannot be excluded or limited under applicable law.
22. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless BADA and its affiliates, officers, directors, employees, contractors, agents, service providers, licensors, suppliers, and partners from and against any claims, demands, damages, losses, liabilities, judgments, settlements, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your use of the Service, your User Content, your violation of these Terms or the applicable Official Giveaway Rules, your violation of any law or any third-party right, or your fraud, misconduct, or negligence.
23. Dispute Resolution; Arbitration; Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. It contains a binding arbitration agreement and class action waiver that affect your legal rights.
Before filing a lawsuit or arbitration, you and BADA agree to attempt to resolve disputes informally for at least thirty (30) days. The party initiating a dispute must send written notice describing the nature of the dispute, the requested relief, and contact information. Notices to BADA must be sent to:

Except for matters that may be brought in small claims court, claims relating to intellectual property, or disputes that applicable law does not permit to be arbitrated, any dispute arising out of or relating to these Terms, the Service, your account, purchases, prizes, content, or relationship with BADA will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable consumer rules.
You and BADA waive any right to participate in a class action, class arbitration, collective action, private attorney general action, or representative proceeding to the fullest extent permitted by law.
You may opt out of this arbitration provision by emailing info@shopbada.com with the subject line "Arbitration Opt-Out" within thirty (30) days after first accepting these Terms. Your opt-out notice must include your full name and the email address associated with your account.
24. Governing Law
Except where preempted by federal law or prohibited by applicable law, these Terms and any dispute arising out of or relating to these Terms or the Service are governed by the laws of the State of Wyoming, without regard to conflict of laws principles.
For disputes not subject to arbitration or eligible small claims court, you and BADA consent to exclusive jurisdiction and venue in the state or federal courts located in Wyoming, except where applicable law requires otherwise. Nothing in these Terms limits any non-waivable consumer rights you may have under the law of your jurisdiction.
25. Changes to the Service or These Terms
We may update or modify the Service and these Terms from time to time. If we make material changes, we will update the Effective Date and provide notice where required by law. Your continued use of the Service after the updated Terms become effective means you accept the updated Terms.
26. Miscellaneous
These Terms, together with the Privacy Policy, Official Giveaway Rules, and any additional terms properly presented in the Service or at checkout, constitute the entire agreement between you and BADA regarding the Service.
